Terms of Service

These Terms of Service ("Terms") govern access to and use of ZT Ziro (the "Service"), operated by ZT Ziro ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. The Service

ZT Ziro is a business operations platform that connects to third-party data sources you authorize (currently Shopify, Meta, and Google Calendar), consolidates the resulting data into dashboards, goals, team-accountability tools, and executive briefings, and provides an AI assistant ("Jarvis") that answers questions about that data.

2. Accounts and Eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the accuracy of the information you provide and for safeguarding your account credentials.
• Each workspace is a tenant boundary — data in one workspace is not visible to other workspaces, and you are responsible for who you invite into yours.
• You are responsible for all activity that occurs under your account and workspace roles (Owner, Admin, Manager, Member, Viewer).

3. Connected Third-Party Accounts

When you connect Shopify, Meta, Google Calendar, or any future integration, you represent that you have the right to grant us access to that account's data. We access only what is necessary to provide the Service, store integration credentials encrypted at rest, and only pull data on your behalf using the permissions you grant. Your use of connected third-party platforms remains subject to that platform's own terms of service, separate from these Terms. Disconnecting an integration in the Service does not automatically revoke access on the third-party platform — you may need to revoke it there as well.

4. AI-Generated Content (Jarvis)

Jarvis uses a third-party AI model to answer questions and generate summaries based on your workspace's data. AI-generated output can be incomplete or wrong. Jarvis is designed to retrieve real data before answering and to say so when data is missing rather than invent numbers, but you should independently verify any figure, insight, or recommendation before relying on it for a business, financial, legal, tax, or investment decision. The Service does not provide financial, legal, tax, or investment advice, and nothing generated by Jarvis should be treated as such.

5. Acceptable Use

You agree not to:

• Use the Service to violate any law or the rights of any third party;
• Attempt to access another workspace's data without authorization;
• Probe, scan, or test the vulnerability of the Service, or bypass its security or rate-limiting controls;
• Reverse engineer, resell, or use the Service to build a competing product;
• Upload or connect data you do not have the legal right to share with us.

6. Fees

The Service does not currently charge fees. If we introduce paid plans, we will notify existing users in advance and this section will be updated with pricing, billing, and cancellation terms before any charge is made.

7. Data Ownership

You retain all rights to the business data you connect to or create within the Service. We do not sell your data. See our Privacy Policy for details on what we collect and how it is used.

8. Termination

You may stop using the Service and request deletion of your workspace at any time by contacting us. We may suspend or terminate access for violation of these Terms, security risk, or non-payment of any future fees, with notice where practicable.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that connected third-party data will always be accurate or current.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service, your violation of these Terms, or your violation of any third party's rights (including any connected data source's terms of service).

12. Governing Law

These Terms are governed by the laws of [Insert State/Country — to be finalized by the Service operator], without regard to conflict-of-law principles, unless a different jurisdiction is required by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated effective date above, and where appropriate we will provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
